Caris Life Sciences to Present Data Evaluating PI3K Pathway Alterations at the 2019 San Antonio Breast Cancer Symposium (SABCS)

On December 10, 2019 Caris Life Sciences, a leading innovator in molecular science focused on fulfilling the promise of precision medicine, reported that it will present results from a study evaluating the prevalence of phosphatidylinositol-3-kinase (PI3K)/AKT/PTEN pathway alterations and co-alterations in patients with different subtypes of breast cancer. The molecular profiles of nearly 5,000 patients were evaluated using the Caris Molecular Intelligence Next-Generation Sequencing (NGS) technology, which identified pathogenic or presumed pathogenic mutations on the PI3K pathway using a 592-gene DNA sequencing panel.

Results showed a high prevalence of hotspot mutations in PIK3CA and that 8% of breast tumors carry uncommon activating PIK3CA mutations. Additional genes activating the pathway including AKT1, PI3R1, PIK3R2 and PTEN were investigated and showed mutation rates ranging from 0.1% to 3%. In addition, the study revealed a significant increase in PD-L1 expression in tumor cells and high tumor mutational burden (TMB) in PIK3CA-AKT1-PTEN mutated cohorts.

The full results will be featured in Poster Session 4 on Friday, December 13, from 7:00-9:00 a.m. CT at the 2019 San Antonio Breast Cancer Symposium (SABCS) in San Antonio, Texas (Presentation #P4-09-04). The poster is titled, "Prevalence of phosphatidylinositol-3-kinase (PI3K) pathway alterations and co-alteration of other markers in breast cancer."

"PI3K and AKT inhibitors have been shown to have significant activity against tumor progression and to overcome resistance in breast cancer, and the recent advancement of the drug class to the clinical use in breast cancer is truly exciting," said investigator Filipa Lynce, M.D., an oncologist with Georgetown Lombardi Comprehensive Cancer Center and MedStar Georgetown University Hospital, a member of the Precision Oncology Alliance. "These results demonstrate a high incidence of common and uncommon mutations that activate PI3K pathway in these patients, which is meaningful for patient selection for the very promising drug class. The knowledge gained from this study on molecular alterations that co-occur with PI3K pathway activation could ultimately help identify novel drug combinations that have the potential to elicit synergistic growth inhibition."

Of the 4,895 molecular profiles submitted to Caris Life Sciences, 72.7% had at least one alteration in the PIK3CA-AKT1-PTEN pathway. PIK3CA was the most frequent alteration in HER2 positive breast cancer, and TNBC was the subtype with the lowest frequency of PIK3CA mutations (18.0% vs. 37% in other subtypes). Notable co-alterations in the TNBC cohort include increased PD-L1 expression high TMB and increased RAS signaling.

The Precision Oncology Alliance (POA) includes 31 academic, hospital and community-based cancer institutions, including nine NCI-designated Comprehensive Cancer Centers collaborating to further the understanding of molecular profiling. To date, the POA has presented over 100 abstracts and publications.

Under the license agreement, Maruho will commercialize the product exclusively in Japan after Solasia completes development of the product. Based on the license agreement, Solasia will supply the product exclusively to Maruho, and Maruho will pay Solasia an upfront payment of 1.0 billion yen and milestone payments based on progress in development and marketing up to a total of 18.0 billion yen.

The oral presentation highlighted the impressive safety, efficacy and persistence of an IIT study of anti-BCMA CAR-T for the treatment of Relapsed/Refractory Multiple Myeloma conducted by Tongji Hospital of Tongji Medical College, Huazhong University of Science and Technology. With 17 of the 18 patients evaluable, the objective response rate (ORR) was 100% in the study. In addition, 70.6% of patients achieved a best response of stringent complete or complete response (sCR/CR), and 88.2% achieved a best response of very good partial response (VGPR) or better. CRS occurred in 17 of 18 patients (Grade 1&2- 72.2% (13), Grade 3- 16.7% (3), Grade 4- 5.6% (1)), but was generally manageable with no neurotoxicity. At the lowest dose (1 x106 cells/kg), IBI326 still maintained 100% ORR, with 78% of these patients achieving a best response of very good partial response (VGPR) or better. As well, toxicity was manageable with 88% of these patients experiencing grade 2 CRS or less.

Furthermore, 4 patients participating in the study had relapsed from a prior murine CAR-T infusion. Their response and the overall performance indicate that IBI326 may also can provide a potential first-line treatment option for patients who have relapsed from prior CAR-T infusions.

About Relapsed/Refractory Multiple Myeloma

Multiple Myeloma is a deadly blood cancer that often infiltrates the bone marrow causing anemia, kidney failure, immune problems and bone fractures. With a global annual incidence rate at 2/100,000, it is one of the most commonly diagnosed blood cancers, second only to non-Hodgkin lymphoma.

For newly treated patients with multiple myeloma, common first-line treatment drugs include proteasome inhibitors, immunoregulatory drugs and alkane agents. For most patients, the commonly used first-line treatment can stabilize the patient’s condition for 3-5 years, but a small number of patients show primary drug resistance at the time of initial treatment, and the disease cannot be effectively controlled. Relapse patients are those who have a reoccurrence after complete remission of the disease. Refractory patients are those with primary drug resistance or those who have finished first-line treatment and do not achieve remission, or patients whose disease progress within 60 days after achieving minimal response. With effective treatment, the majority of patients will inevitably enter the stage of relapse and refractory after 3-5 years of disease stabilization. For these patients, the overall effective rate of existing second-line treatment is about 40% to 70%, with short remission time.

About IBI326 (BCMA CAR-T)

IBI326 is an innovative therapy co-developed by Innovent and IASO BIO. Previous studies indicate patients with relapsed/refractory multiple myeloma (RRMM) who received high-dose BCMA-targeting CAR-T cells may achieve better remission but have worse adverse events. Moreover, once the disease progresses again, the re-infusion of CAR-T cells will be not effective. To solve this dilemma, IBI326 has been developed, A lentiviral vector containing a CAR structure with a fully human scFv, CD8a hinger and transmembrane, 4-1BB co-stimulatory and CD3z activation domains. Based on strict selection and screening, utilizing a proprietary in-house optimization platform, the construct of the BCMA CAR-T is potent and persistent.

Mr. Bench joins from ELLKAY, LLC, where he was Chief Financial Officer of this healthcare information technology company servicing diagnostic laboratories, electronic medical record providers, payers, hospital/health systems and ambulatory practices. Prior to his tenure at ELLKAY, Mr. Bench served as President of DBC Group, LLC, an advisory and consulting firm working with emerging public companies and as an investment banker at Arete Wealth Management, covering the telecommunications, media and technology industries. Earlier in his career Mr. Bench worked at the investment banking firms of Lazard and Arnhold and S. Bleichroeder. He received his B.A. in Economics and a Masters in International Economics and Finance, both from Brandeis University.

Mr. Bench takes over the chief financial officer role from Barry Weiner, who will retain his position as President and remain a Director of the Company.

In the first quarter, we made investments in new billing systems, new personnel, eight new patient service centers, onboarded a number of new payors – while at the same time, we implemented a series of initiatives that are estimated to reduce overall routine expenses in our labs by approximately $10 million this year.

Our first quarter results were impacted by several non-routine charges, including: $800,000 in cash withheld by a provider in an ongoing dispute where we are hopeful a favorable resolution will be achieved and another approximately $600,000 was spent in expenses relating to the pending proxy contest at the Company.

1Q20 Operating Results

• Total operating revenues for the quarter amounted to $20.2 million, compared to $21.3 million the year prior, a 5% decline with clinical accession volume up 4%. Product segment revenues increased to $7.4 million, from $6.9 million, a 7% year over year gain reflecting increased U.S. volume and greater sales of diagnostic products as compared to research products. Clinical services revenues amounted to $12.8 million, compared to $14.3 million a year ago. This decrease reflects lower reimbursement rates, with $1.4 million of the decline due to reduced genetics testing reimbursements and insurance

company related changes in medical and procedural requirements. Legal and related expenses amounted to $1.7 million, compared to $1.3 million, with the fiscal 2020 first quarter including a charge of $0.8 million related to a dispute over prior fiscal year reimbursements by a third-party payor that Enzo is contesting.

• Overall, cost of revenues were up slightly (+2%) due to the previously cited factors. R&D expenditures increased to $1.1 million, from $0.7 million, up 45% reflecting investments in new assays and LDTs. Total operating costs increased $1.2 million, or 4.3%, including approximately $1.4 million in unusual expenses. At Clinical Services, cost of revenues remained flat at $11 million, with continued cost reductions offsetting a higher volume of lower margin testing offset by other cost reductions. Product cost of revenues increased $0.2 million, to $3.5 million, largely due to higher volume. Consolidated margin was 28%, vs. 33% a year ago. Clinical Services and Products margins were 14% and 52%, respectively, compared to 23% and 53%, respectively, a year ago.

• Products segment operating income doubled to $0.6 million, from $0.3 million, Operating loss at Clinical Services amounted to $4.8 million, up from a year ago operating loss of $2.8 million, reflecting primarily reduced revenues and higher R&D investment in innovative diagnostic platforms, products and services. The GAAP net loss totaled $7.6 million, or $0.16 per share, compared to net loss of $6.0 million, or $0.13 per share the year earlier. Adjusted for unusual expenses totaling approximately $1.4 million, the fiscal 2020 first quarter non-GAAP net loss per share equaled last year’s $0.13 per share, during which there were no unusual expenses. EBITDA, a non-GAAP calculation amounted to a negative $7.1 million, compared to a negative EBITDA of $5.5 million a year ago; adjusted 1Q20 EBITDA loss amounted to $5.7 million. After adoption of a new accounting standard for leases, which resulted in the recognition of $4.6 million of current operating lease liabilities in the current period and changes in other operating assets and liabilities, working capital on October 31, 2019 totaled $54.3 million.
